Terms of service

TERMS OF SERVICE // TM DESIGN LAB LLC

TM Design Lab LLC (doing business as "Culture is Resistance," "TM Sonic Lab," and "TM Design Lab Publishing," collectively operating the visual, textile, publishing, and sonic divisions referred to as the "Company," "we," "us," or "our") provides this store, website, bespoke apparel commissions, digital audio store, and commercial licensing catalog (the "Services") subject to the following terms and operational protocols.

By accessing, commissioning physical goods, licensing master recordings, purchasing digital music assets, or interacting with any part of our domain, you agree to be bound legally by these Terms of Service.

1. INTELLECTUAL PROPERTY & PROPRIETARY ASSETS
All digital audio recordings, stems, underlying musical compositions, graphic artwork, typography, embroidery digitizing machine files (.DST, .PES, .EMB), photographic assets, and bespoke garment designs hosted on or delivered through this domain are the exclusive intellectual property of TM Design Lab LLC, TM Sonic Lab, TM Design Lab Publishing, and Culture is Resistance. Unauthorized reproduction, public performance, commercial synchronization, reverse engineering, redistribution, scraping, peer-to-peer file sharing, or sublicensing of any asset is strictly prohibited and subject to immediate legal action.

2. COMMERCIAL SYNC & AUDIO STEM CLEARANCES
Preview streaming or electronic receipt of audition audio tracks and stems does not constitute a grant of synchronization or commercial broadcast rights. All sync licenses for television, film, advertising, OTT streaming, video games, or runway exhibitions must be formally contracted via an executed Master & Publishing Sync Agreement through our commercial intake desk (contact@tmdesignlab.co). Master sound recordings (℗ TM Sonic Lab) and underlying compositions (© TM Design Lab Publishing) are owned 100% in-house with zero third-party administrative encumbrances.

3. DIGITAL ALBUM & AUDIO DOWNLOAD PROTOCOL
Purchase of digital sound recordings (including "OCCUPIED PALESTINE DIGITAL ALBUM") grants the purchaser an individual, non-exclusive, non-transferable, revocable license for personal, non-commercial listening only. Digital purchases do not transfer copyright, master rights, or synchronization clearance. Delivery is executed electronically via automated download dispatch. Because digital audio assets are uncompressed, non-tangible, and irrevocable upon delivery, all digital sales are final and strictly non-refundable once download credentials or fulfillment emails have been generated by our servers. Automated point-of-sale reporting is transmitted to industry chart registries (Luminate / SoundScan) upon transaction execution under GS1 UPC 884400855787.

4. BESPOKE COMMISSIONS & MADE-TO-ORDER PROTOCOL
Physical apparel pieces (including COMMISSION 01 "CULTURE IS RESISTANCE") are produced strictly as bespoke, made-to-order commissions allocated within capped production runs. Estimated fulfillment windows (4 to 6 weeks from order placement) represent precision craftsmanship benchmarks. Subtle variances in stitch pathing, thread density, tension, and wash textures are natural characteristics of single-head artisanal embroidery and do not constitute manufacturing defects. Physical orders are non-refundable, non-exchangeable, and final upon placement.

5. CHARGEBACK MITIGATION & TRANSACTION FINALITY
By placing an order for bespoke physical commissions or digital audio assets, you acknowledge the fulfillment terms and explicitly waive the right to initiate payment disputes or credit card chargebacks based on standard production lead times, transit carrier handling, or post-delivery electronic access. In the event of an alleged defect or objective physical fulfillment error, clients agree to submit photographic documentation to contact@tmdesignlab.co within seven (7) business days of carrier delivery for resolution via piece replacement. Any unauthorized chargeback filed without prior written communication will be contested with complete transaction telemetry, server download logs, and delivery tracking documentation, and the Company reserves the right to recover all associated dispute fees and legal costs.

6. DOMESTIC TRANSIT & FULFILLMENT RESPONSIBILITY
Physical fulfillment is restricted strictly to domestic addresses within the United States. Deliveries are dispatched using tracked carrier services (USPS / UPS). Risk of loss and title transfer upon carrier receipt. The Company is not responsible for packages marked delivered by the carrier or delayed due to incorrect domestic shipping information provided by the customer at checkout.

7. B2B & BESPOKE DIGITIZING SUBMISSIONS
Clients submitting proprietary vector art, marks, or designs for custom digitizing or atelier embroidery warrant that they own or possess explicit commercial licenses for all submitted assets. TM Design Lab LLC assumes zero liability for trademark, copyright, or trade dress infringement arising from client-supplied graphics, and clients agree to indemnify and hold harmless the Company against all related claims.

8. GOVERNING LAW & ARBITRATION
These Terms of Service and any contractual relationships formed hereunder shall be governed by, enforced, and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles. Any dispute arising from these terms or purchase transactions that cannot be resolved amicably shall be settled exclusively through binding arbitration in San Diego County, California.
